{\noindent Dear Mr. Bevan:}

I am writing this letter at your request to put on record the conditions
that are to apply to the that portion of the Pooled-Income-Trust-Fund's
Principal existing at the time of my death that will be based on my gift
of 1000 shares of IBM stock to the newly established NCPH Pooled Income
Trust Fund, made on December 23, 1982.

Believing, as I do, in the beneficial effects of having a swimming pool
and an associated jacuzzi or hot tub at The Sequoias, Portola Valley,
I hereby confirm the informal understanding that the my
share of the Pooled-Income-Trust-Fund's assets at the time of my death will be
used to pay for the construction of a swimming pool and an associated hot
tub or of a suitable building to house the same if enough additional funds
are available at that time to permit the construction af an enclosed
facility, providing only that if such facilities have already been
constructed or are already planned and fully financed by the time of my
death then, and only then, may my share of the Pooled-Income-Trust-Fund's
assets be used for whatever capital improvement of the facilities at
the Sequoias, Portola Valley, that seem to be the most pressing at that
time.

I would appreciate an acknowledgement of this letter and of these
conditions together with a statement to the effect that these conditions
were understool by you at the time I signed the Instrument of Transfer
and that these conditions are considered to be a part of the Instrument
of Transfer.
